Please read the following terms and conditions to ensure that you are fully aware of your rights and obligations when enrolling for, and participating in a Foodie Coaches 6 Week Program.

(“Program”).

1. Program Fees:

1.1. By enrolling in the Program you agree to pay the program fee. In exchange for payment, Foodie Coaches have agreed to                    provide you with services and access as outlined in this Agreement.

      1.2.1. Full payment must be completed before access to the Program will be granted.

      1.2.2. Payment must be made via the secure credit card payment gateway provided by Foodie Coaches.

1.3. Registrations originating from Australia, where the Program Fee is in Australian Dollars (AUD) will include Goods and services          Tax (GST). 

1.4. Registrations originating from other countries will only contain GST where applicable.

1.5. Your Program intake date will be provided to you at the point of sale.

1.6. Subject to clause 13, to the extent permitted by Australian Consumer Law and any other relevant law, the Program Fee is non-          refundable.

2.1. Access to the self paced online training portal housing educational content and resources from the Program.

2.2. Weekly group coaching calls with an expert coach across the Commitment Period of the Program.

2.3. Weekly live question and answer session across the Commitment Period of the Program.

3.1. The Program is a 6 week commitment (Commitment Period). As a paying participant you will have access to the Program for a        period of 6 weeks from your program's intake date.

3.2. Upon the completion of your Commitment Period, your access will be removed unless agreed otherwise by both parties.

4.1. All registrations for the Program are final, participants wishing to leave the Program before the completion of the                                Commitment Period are required to submit a request in writing to hello@foodiecoaches.com 

4.2. Any refunds of any fees paid are solely at the discretion of Foodie Coaches.

4.3. We reserve the right to cancel the Program because of events beyond our control.

4.4. In the unlikely event of cancellation by us, you will be notified and offered the option to receive a full refund for any                             undelivered component of the Program.

4.5. You will not be entitled to seek compensation for any loss, expense, or damage 

       (either direct or consequential) or for any loss of time or inconvenience, which may result from our cancellation of the                          Program.

4.6. Foodie Coaches withholds the right to cancel access where any Participant breaches the Foodie Coaches guidelines or fails to         meet the expectations set for them.

4.7. We may pause or cancel this agreement if:

       4.7.1. We consider that our working relationship has broken down including a loss of confidence or trust, or if you breach any                       part of these Terms; or

       4.7.2. You breach our Code of Conduct; or

       4.7.3. You are involved otherwise in any illegal activities inside or outside these Terms.

       4.7.4. If we feel that you have actively deceived us in relation to;  

                  the physical and/or financial performance of your business; or

                  the level of debt you are holding or accumulating while in the act of trading.

4.8. On termination of these Terms by us, you agree that:

      4.8.1. Any payments made to us (or part thereof) are not refundable to you;

      4.8.2. You are to pay all invoices for services rendered to you, up to the date of termination, as well as any Program fees that                         you  have committed to in relation to the Program. To avoid any doubt, you must pay for the entirety of the Program                           unless otherwise agreed between both parties.

      4.8.3. Foodie Coaches will be released from all guarantees associated with this agreement.

5.1. Program materials, including all content and coursework (Program Materials), are subject to change.

5.2. Program Materials are provided online via the Portal, or via alternative means advised by us from time to time. 

5.3. You understand and accept that the Portal may occasionally be unavailable during scheduled maintenance. 

5.4. The Program Materials, including copyright and all other such intellectual property rights contained therein, are owned by               Foodie Coaches or authorised for use by us. 

5.5. You must not download, reproduce or share any part of the program materials, without our prior written consent.

5.6. You understand and agree that downloading, reproducing or sharing the Program Materials, with any other person, would               amount to a breach of intellectual property rights. Foodie Coaches reserves the right to take action against you, as well as                 breach of statute and common law.

5.7. Access to Program Materials are included in the program fee. 

6.1. Virtual coaching sessions (Sessions) that may be included in the Program will be held at a time and/or place, as decided by              Foodie Coaches. 

6.2. Sessions may be held via telephone or technological means (for example, Zoom or Google Meet or similar).

6.3. Sessions may be recorded for the purposes of training and review, by enrolling in the Program you consent to this process.

6.4. Any session recordings made will be kept private and confidential.

7.1. We reserve the right to vary these Terms, revise the content of the Program, cancel, amend, change or reschedule part of the          Program and to make other changes to the Program and your Enrolment as reasonably required. Including due to inclement          weather, pandemic, government lockdown or restrictions, or any other event beyond our control.

7.2. This includes the right to host and conduct any activity or event via technological means, rather than in-person. 

8.1. The information, resources, and material we provide to you in the Program is for general information purposes and does not            constitute legal or financial advice. We provide no warranty that any result or objective can or will be achieved or attained, as a        consequence of your participation in the Program. We cannot, and will not be liable for any negative impacts that your actions        have on you or your business.

8.2. You warrant that you will not canvas, employ, induce or attempt to employ, induce, solicit or entice away from us, any                         employee or contractor that was employed by or contracted to us during the term that we provide our services to you, or for a         12-month period following the termination of these Terms.

8.3. The above clause shall apply from the commencement of these Terms until the latter of: (i) 12 months following the                              termination of your Enrolment; and (ii) 12 months following the cessation of the employee or contractor’s employment with              us.

9.1. We reserve the right to determine, at our sole discretion, what constitutes abusive language and harassment, and where that          has occurred. Any decision will be final and not subject to appeal.

9.2. All personal information that we collect about you will be handled, treated and stored in accordance with our Privacy Policy             (refer to Annex B), which you agree to by agreeing to these Terms.

10.1. We are always looking to improve our program. Please email us if you would like to provide feedback regarding the program.            Any grievances will be taken seriously and will be addressed in a timely and thoughtful manner.

11.1. These Terms contain the whole agreement in respect of the subject of the agreement between Foodie Coaches and the                   Participant.

11.2. You confirm that you have not entered into these Terms on the basis of any representation that is not expressly incorporated            into these Terms.

11.3. If any provision of these Terms are prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision           will, to the extent required, be severed from these Terms and rendered ineffective as far as possible without modifying the                  remaining provisions of these Terms, and will not in any way affect any other circumstances of or the validity or enforcement            of these Terms.

11.4. We will not be liable for any delay or failure to perform our obligations under these Terms, if such delay is due to any                            circumstance beyond our reasonable control. If we are delayed from performing our obligations due to such a circumstance,            for a period of at least two (2) months, we may terminate these Terms by giving you five (5) business days' written notice.

11.5. These Terms take effect, are governed by, and will be construed in accordance with the laws from time to time in force in                 Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland.

12.1. If after completing the full six (6) week commitment period you feel that you haven’t been able to obtain value from the                   Program, Foodie Coaches will refund the full Program Fee paid

      12.1.1. To execute clause 12.1 you must;

            12.1.1.1. Be able to prove that you have attended all calls and classes

            12.1.1.2. Completed the required trainings and implemented all the learnings. 

12.2. Should the Participant breach any of Foodie Coaches Terms and Conditions, all guarantees associated with this agreement              will become null and void.

12.3. Should the Participant breach any of Foodie Coaches Privacy Policies, all guarantees associated with this agreement will                    become null and void.

12.4. Should the Participant breach Foodie Coaches Code of Conduct, all guarantees associated with this agreement will become             null and void.

13.1. Foodie Coaches may, from time to time, vary the Terms of this agreement, in such case that variations are made you will                   receive notification via your nominated email address. Any amendments will be effective immediately upon us sending such           email to you.
